Terms of Service and Sale

These terms (the "Terms") govern access to the ICONIQ platform (the "Service") and the sales concluded on it. They form an agreement between you and ICONIQ SAS ("ICONIQ", "we").

By creating an account, purchasing a Pack or otherwise using the Service, you accept these Terms in full. If you do not accept them, you must stop using the Service.

The Terms that apply to an order are those in force on the date of that order. We recommend keeping a copy: the Print button at the top of this page produces a dated document.

As required by article 6-III of French law no. 2004-575 of 21 June 2004 on confidence in the digital economy:

Pack

A paid digital product whose opening allocates one Prize, determined by a random draw from a set disclosed before purchase.

Prize

The physical collectible (graded card, watch, accessory or other) allocated when a Pack is opened, together with the digital token evidencing that allocation.

Odds

The allocation rate of each rarity tier, published on each Pack page before purchase.

Buyback

The option offered by ICONIQ to repurchase an allocated Prize, at the rate displayed at the time of the request, instead of shipping it.

Account

The personal area giving access to the Service, created through our authentication provider.

To use the Service, you represent that you:

• are at least 18 years old, or the age of majority in your country of residence if higher;
• have the legal capacity to enter into a contract;
• act on your own behalf and not for a third party;
• do not reside in a country where access to the Service, the purchase of Packs or the use of digital assets is prohibited or requires an authorisation we do not hold;
• do not appear on any international financial sanctions list.

One account per person. We may refuse, suspend or close any account where there is serious doubt as to compliance with these requirements, under the section "Suspension and termination".

Authentication is handled by a third-party provider. You are responsible for keeping your access credentials confidential, including your digital asset wallet and its keys, and for all activity carried out from your account.

Report any unauthorised use of your account to support@iconiq.io without delay.

The Service is not an investment, a financial placement or a savings product. It produces no yield and must not be presented or understood as such. No past outcome, displayed value or published statistic constitutes a promise of future results.

Odds and verifiability

The odds for each tier are published on each Pack page before purchase. The draw uses a provably fair mechanism: a cryptographic commitment is published before the opening and the corresponding seed is revealed afterwards, allowing you to recompute the result and confirm it was not altered.

Prizes exist in limited quantities. Once a Prize is no longer available it is removed from the drawable set. Where no Prize remains in the tier drawn, we reserve the right to allocate a Prize from a tier of at least equivalent value, without this giving rise to any compensation.

You play for entertainment and at your own expense. Only commit amounts whose loss would not affect your financial situation.

Prices are shown in USDC, inclusive of all taxes, on each Pack page. USDC is a digital asset whose value tracks the US dollar, so its euro equivalent varies over time. The applicable price is the one displayed when the order is confirmed.

Payment is made in USDC on the Solana network. The amount debited is exactly the price displayed: no conversion takes place between quote and settlement.

Network fees are borne by you and are not paid to us. An underpaid transfer, a transfer sent on an unsupported network or to an incorrect address may be permanently lost.

The sale is concluded once payment is confirmed. A summary is made available in your account.

As long as you have not started opening a Pack you have purchased, you have fourteen (14) days from the order to withdraw, without giving reasons. You are then refunded the price paid, by the same means of payment, within fourteen (14) days of receipt of your request.

To exercise this right, send an unambiguous request to support@iconiq.io, quoting your order reference.

For shipped physical Prizes, the right of withdrawal applies as set out in the section "Shipping of physical Prizes".

Once the opening completes, the allocated Prize is recorded to your account. A digital token may be issued on a public blockchain evidencing that allocation.

That token is a certificate of allocation. It confers no intellectual property rights over the trade marks, designs or works depicted, no voting rights, no equity, no entitlement to distributions and no claim against ICONIQ other than delivery of the corresponding Prize under these Terms.

We do not guarantee the value, the liquidity or the existence of a secondary market for that token. The operation of public blockchains and third-party wallets is outside our control.

You may ask ICONIQ to repurchase an allocated Prize instead of having it shipped. Buyback is an option offered by ICONIQ, not an acquired right: we may suspend, limit or discontinue it at any time for the future, without affecting a request already accepted.

The buyback rate is the one displayed at the time of the request. It is lower than the Prize's reference value. Payment is made in digital assets, converted at the rate taken at the time of settlement.

Acceptance of a buyback is final: the Prize returns to ICONIQ and the corresponding token is withdrawn or burned. Buyback is not an investment service and guarantees no resale value.

You may request shipment of an allocated Prize. You are responsible for providing and maintaining an accurate address; a delivery made to an incorrect address you supplied will not be reshipped at our expense.

The delivery time is stated when the request is made. Failing that, delivery takes place within a maximum of thirty (30) days from the request, in accordance with article L216-1 of the French Consumer Code.

Risk of loss or damage passes when you take physical possession of the Prize, in accordance with article L216-4 of the French Consumer Code. Shipments are insured as stated when the request is made.

Customs duties, taxes and import formalities outside the European Union are borne by you. Refusal to clear customs or failure to collect may result in the parcel being returned or destroyed, without refund.

For physical Prizes, the fourteen (14) day withdrawal period runs from receipt. The Prize must be returned complete, in its original condition and, where applicable, in its intact grading slab. Return costs are borne by you, unless the law provides otherwise.

Prizes are collectibles, new or pre-owned depending on the item. Their condition is described on their page. For items graded by an independent third party, the grade is the certifier's: ICONIQ passes that information on and does not substitute its own assessment.

Displayed reference values are estimates drawn from public sources or our own records at a point in time. They are not an appraisal, a guarantee of value or an undertaking to repurchase at that amount.

You must not:

• create multiple accounts, use someone else's account or lend yours;
• automate access to the Service, including by bot, script or mass data extraction;
• attempt to predict, influence or circumvent the draw mechanism, or exploit a technical fault;
• circumvent age, sanctions or territorial controls;
• use the Service for money laundering, terrorist financing or fraud;
• compromise the security or integrity of the Service, or access it by unauthorised means;
• resell access to the Service or make unauthorised commercial use of it.

Breach of these prohibitions may result in cancellation of the transactions concerned, suspension of the account and, where applicable, legal proceedings.

Applicable regulations may require us to verify your identity, the source of funds or the consistency of your activity. We may request supporting documents and suspend a transaction or an account pending their production.

We may refuse or cancel any transaction presenting a serious risk of fraud, money laundering, sanctions circumvention or use by a minor, and make any report required by law.

You may stop using the Service and request closure of your account at any time. Closure does not affect transactions already performed.

We may suspend or close your account for breach of these Terms, for legal reasons or where there is an established risk to the Service or its users. Except where the law or urgency requires otherwise, suspension is preceded by notice and, where the breach can be remedied, by a period to remedy it.

On closure, allocated Prizes not yet shipped remain owed to you, subject to the checks in the section "Compliance, checks and sanctions" and to the transaction being lawful.

The platform, its visual identity, texts, databases and developments are protected and remain the property of ICONIQ or its licensors. Nothing in these Terms transfers any rights to you.

Trade marks and images of the items shown belong to their respective owners. Their reproduction on the platform serves to identify Prizes and implies no partnership, sponsorship or affiliation with those owners.

We are liable for the proper performance of the contract as provided by law. Nothing in these Terms excludes our liability for personal injury or for gross negligence or wilful misconduct, or limits your statutory guarantees.

Subject to the above, we are not liable for:

• the value of an allocated Prize, the outcome of a draw or the failure to obtain a sought-after Prize;
• movements in digital asset prices between the display of a price and its settlement;
• any malfunction, congestion or interruption of a public blockchain, a third-party wallet or an infrastructure provider;
• the loss of your keys or credentials, or a transaction you sent to an incorrect address;
• your use of the Service in breach of these Terms or of the law applicable in your country.

The Service is provided as available. We take reasonable steps to keep it available and secure, without guaranteeing uninterrupted availability or the absence of any fault.

Neither party is liable for a failure caused by an event of force majeure within the meaning of article 1218 of the French Civil Code. Performance of the affected obligations is suspended for the duration of the event; if it lasts more than sixty (60) days, either party may terminate the contract for the future.

The processing of your personal data is described in our Privacy Policy, which forms an integral part of these Terms. It sets out the processing carried out, its legal bases, retention periods and how to exercise your rights.

We may amend these Terms, in particular to reflect legal, technical or commercial developments. The version applicable to an order is the one in force on its date.

Any material change is notified to you before it takes effect. If you do not accept the new version, you may stop using the Service and request closure of your account.

Any complaint must first be sent to us at support@iconiq.io. We acknowledge receipt and respond as quickly as possible.

Under article L612-1 of the French Consumer Code, after attempting to resolve the dispute directly with us, you may refer it free of charge to the consumer mediator we are affiliated with: À COMPLÉTER — À COMPLÉTER.

These Terms are governed by French law.

If you are habitually resident in another EU Member State, this choice does not deprive you of the protection afforded by the mandatory provisions of the law of your country of residence.

In the event of a dispute, failing an amicable resolution, you may bring proceedings before either the courts of our registered office or those of your place of residence. We may bring proceedings against you only before the courts of your place of residence.

If any provision of these Terms is held void or unenforceable, it is deemed unwritten and the remaining provisions remain in full force.

Failure to enforce a breach does not waive the right to enforce it later.

You may not assign your rights under these Terms without our prior written consent.

The French version of these Terms prevails. Any translation is provided for information only.
